Terms of Service

1. Who We Are

Vault is operated by DnZ Applications Ltd. Vault is a software platform built specifically for the construction industry. It provides tools for:

• Project management
• Labour marketplace
• Company workspaces
• Task management
• Project messaging
• Qualification management
• Quotes
• Invoices
• QuickBooks & Xero integrations
• Other business management features

Vault is a technology platform only. Vault is not an employer, employment agency, recruitment agency, payroll provider or contractor. Any agreements made between companies and tradespeople are solely between those parties.

2. Who Can Use Vault

To use Vault you must:

• Be at least 16 years old.
• Provide accurate registration information.
• Keep your account credentials secure.
• Use Vault for lawful purposes.
• Comply with these Terms.

Company Owners are responsible for managing users they invite into their company workspace.

3. Subscription Plans

Vault offers different subscription plans. Current plans include:

• Basic
• Standard
• Pro

Subscription prices are shown within the Vault website and application. Subscriptions renew automatically unless cancelled before the next billing period. Depending on how you subscribe, payments are securely processed either through Stripe or through the Apple App Store / Google Play Store. Vault does not store your card details. Subscriptions purchased through the App Store or Google Play are billed, managed and cancelled through your Apple ID or Google account settings, in line with their respective terms.

4. Company Workspaces

Company Owners may invite employees, subcontractors and administrators into their workspace. Company Owners are responsible for:

• Managing user permissions.
• Removing users when required.
• Ensuring invited users comply with these Terms.
• Maintaining the security of their workspace.

5. Labour Marketplace

Vault allows companies and tradespeople to connect. Vault does not:

• Guarantee work opportunities.
• Guarantee worker availability.
• Verify competence.
• Guarantee qualifications.
• Guarantee insurance.
• Guarantee payment.
• Become a party to any agreement between users.

Companies remain responsible for carrying out appropriate checks before engaging workers.

6. Qualifications & Verification

Users may upload qualifications and certifications. Where Vault displays a verification badge, this means the document has successfully passed Vault's verification process. Verification does not guarantee:

• Competence
• Experience
• Current validity
• Insurance
• Fitness for work

Companies remain responsible for carrying out their own checks where required.

7. Projects & Messaging

Vault allows authorised users to:

• Create projects
• Upload photographs
• Share files
• Assign tasks
• Send messages
• Collaborate within company workspaces

Users remain responsible for the accuracy and legality of any content they upload.

8. Quotes & Invoices

Vault provides tools to generate quotations and invoices. Users are responsible for:

• Accuracy
• VAT calculations
• CIS deductions (where applicable)
• Legal compliance
• Reviewing documents before sending

Where users connect QuickBooks or Xero, Vault transfers data only as authorised by the user.

9. Acceptable Use

You must not:

• Use Vault for unlawful purposes.
• Upload false qualifications.
• Harass or abuse other users.
• Post fraudulent job opportunities.
• Attempt to gain unauthorised access.
• Reverse engineer or scrape the Platform.
• Introduce malicious software.
• Share your account outside your organisation.

We may suspend or terminate accounts that breach these Terms.

10. Your Content

You retain ownership of all content you upload. By uploading content, you grant Vault a non-exclusive licence to store, display and process that content solely for the purpose of operating the Platform.

11. Intellectual Property

The Vault software, branding, logo, code and design remain the exclusive property of DnZ Applications Ltd. Nothing in these Terms transfers ownership of Vault's intellectual property to users.

12. Liability

Vault provides software only. To the fullest extent permitted by law, Vault is not liable for:

• Disputes between users.
• Employment decisions.
• Workmanship.
• Delays.
• Missed jobs.
• Loss of profits.
• Indirect or consequential losses.

Nothing in these Terms excludes liability where it cannot legally be excluded under the laws of England and Wales.

13. Changes

We may update Vault or these Terms from time to time. Where significant changes are made, we will notify users through the Platform or by email.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
